MINUTES KXNM BOARD of DIRECTORS MEETING
Wednesday – September 18, 2019
Present: Art Swenka, Dixie Swenka, Babbi Baker, John Griego, Ladd Hagmaier, Bill Simms, Keith Smith, Randy Wright
Not Present: Norm Onarheim
Art Swenka called the meeting to order at 2:00 p.m.
The Pledge of Allegiance was said by all present.
A quorum was met with 8 of 9 directors present.
CONSENT AGENDA: Ladd Hagmaiermotioned to approve the agenda for the September 18, 2019 meeting and the minutes from the August 21, 2019 meeting as submitted. John Griego seconded the motion and directors unanimously approved the consent agenda.
OLD BUSINESS:
a. Update on Radiologik Training -Bill Simms discussed the progress of Radiologik training and said that Kurt Reeder is a quick study and is learning the system. Joyce McKinnis also needs to learn how to operate Radiologik.
b. Update on Metasoft Systems Negotiations – Dixie Swenka discussed the continuing negotiations with David Persad at Metasoft Systems and reported that the price of grant software is still too high. After discussing various options on pursuing grants, Directors requested that Dixie contact David Persad and end the discussions about purchasing the software.
c. Update on Remote Broadcasting Equipment and Training – Bill Simms reported that VH2 System for remote broadcasting was purchased, installed and tested successfully. Lacey Wells and Art Swenka are scheduled to be the commentators of the station’s first remotely broadcast football game. Which is between Jal and Estancia on Friday, September 20th. Elizabeth Tinnin will operate the console at the station during the broadcast.
NEW BUSINESS: Art Swenka discussed the growing interest in sponsorships for the high school sports broadcasts and reported that thirteen sponsors have signed up to date. The cost for a sponsorship is $25 for existing sponsors and $30 for new sponsors per game. In order to receive these rates sponsors must buy all games that are broadcasted. Each sponsor gets three spots, one at the beginning of the game, at halftime and after the game.
TREASURER’S REPORT: John Griego distributed copies and discussed financial statements including the Income Statement, Balance Sheet and Income by Comparison. John said that cash on hand and accounts receivable exceed $16,503 with total assets of $380,746. John further reported that net profit through August is $4,910 compared to last August’s net profit –($3,400) and projected an annual net profit of $12,301.
Randy Wright motioned to accept the Treasurer’s Report as submitted. Keith Smithseconded the motion, and directors unanimously approved it.
COMMITTEE REPORTS: No Committee Reports were presented.
VICE PRESIDENT’S REPORT: Bill Simms reported that the FFA Market and Commodity, Archaeology in Your Backyard and the Weathershows are on schedule. Bill singled out several FFA reporters for their excellent work including, Sophia Sedillo from Chilili, Grace Hart from Moriarty and Dylan Greene from Mountainair.
Bill identified a serious problem with the studio console that is malfunctioning because of bad program chips. One chip is still working and if it fails the broadcast will be interrupted. Replacement chips were ordered and will be installed soon. As a precaution, Keith Smith volunteered to bring his soundboard to replace the console if it fails.
PRESIDENTS REPORT: Art Swenka reported that he and Bill Simms cleaned the grounds of the tower building and replaced two back-up power supplies. He said, a second battery pack is needed for the studio. Art is also working with potential sports commentators to broadcast the local high school football games.
Also, the Soil and Water Meeting on October 4th will be remotely broadcast by the station and include highlights of the meeting and selected interviews in the morning and at noon.
The next Board of Directors Meeting is scheduled for Wednesday October 16, 2019 at 2 p.m. at the KXNM Offices and Studios in McIntosh.
