MINUTES KXNM BOARD of DIRECTORS MEETING
Wednesday –May 15, 2019
Present: Art Swenka, Dixie Swenka, Babbi Baker, John Griego, Ladd Hagmaier, Bill Simms, Randy Wright
Not Present: Norm Onarheim, Keith Smith

Art Swenkacalled the meeting to order at 2:00 p.m.
The Pledge of Allegiance was said by all present.
A quorum was met with 7 of 9 directors present.
CONSENT AGENDA: Bill Simmsmotioned to approve the agenda for the May 15, 2019 meeting and the minutes from the April 17, 2019 meeting as submitted. Dixie Swenkaseconded the motion, but before a vote was taken Ladd Hagmaierrequested an addition to the agenda.
Ladd motioned to add an update from the President during his report on the 2018 regulatory filings including the IRS Form 990, the PRC report to the NM Secretary of State, and report to the NM Attorney General. Randy Wrightseconded the motion, and directors unanimously approved the motion.
OLD BUSINESS:
- Dixie Swenkareported that the student intern will start on May 28,
NEW BUSINESS:
- David Persadfrom MetaSoft Systems, Inc. made an online presentation to directors about grant opportunities for nonprofits. David demonstrated the software platform used to identify and analyze grant opportunities from over 120,000 private foundations. The software selects best matches between the grantee and various foundations.
David provided information about several foundations in New Mexico that he thought matched KXNM’s needs. These included:

Charles H Kaman Foundation
Frost Family Foundation
Hawkins Family Foundation
Lannan Family Foundation
New Mexico Community Foundation
McCune Family Foundation
Open Society Institute
Membership and access to the database and training starts at $4,995 per year with significant discounts available for multi-year agreements. Artthanked David for the presentation, and said that the board would review and discuss membership at the next board meeting.
TREASURER’S REPORT: John Griego, Treasurer, distributed copies and discussed financial statements including the Income Statement, Balance Sheet and Income by Comparison. Gross profit is $34,769.46 and net profit stands at $7,351.20 from Jan-Apr 2019, which translates into a solid financial position.
Revenue reported for April was lower than expected, but Art Swenka explained that ten underwriter’s payments were sent to the wrong address. The problem is fixed and these payments will show up in the May Income Statement.
Ladd Hagmaiermotioned to accept the Treasurer’s Report as submitted. Randy Wrightseconded the motion, and directors unanimously approved it.
COMMITTEE REPORTS: Babbi Bakerreported that brass recognition plaques honoring and noting years of service for Barbara Kinney (2011-2018) and Blake Williams(2007-2017) were installed. Directors thanked Babbi for completing this important project honoring two KXNM founders.
VICE PRESIDENT’S REPORT: Bill Simms said that new reporters from the FAAhave been elected to report theLivestock and Commodity shows, except for the Corona FFA, which is currently not participating. The Corona FFA normally broadcasts the Roswell Livestock Report. Nevertheless, Smiley Wootenwill broadcast the Roswell Livestock Report.
Bill also discussed the progress of fully implementing Radiologik. The full transition from Simian to Radiologik is expected to happen soon.
PRESIDENTS REPORT: Art Swenkareported that the IRS Form 990 was recently completed and filed with the IRS. Following the meeting, Art confirmed that the report to the NM Attorney General was also filed. While the PRC report to the NM Secretary of State is not due yet, because of the station’s change in the fiscal year to a calendar year, it is being prepared now. Art will provide a status report on these filings at the next board meeting.
Art discussed a new initiative for KXNM to be the news outlet for local municipalities after promising meetings with town officials in Estancia and Edgewood. The initiative provides the towns with news announcements written by staff in each town and broadcast by KXNM. The cost is $3,000/year for 600 announcements, or a multiple of this rate if fewer or more announcements are needed.
Art also discussed renewing the National Broadcast Association membership, which largely serves commercial radio. Directors suggested joining a public radio broadcast association instead.
Art reported that Max Calvertis now trained as the salesperson for the station, and is working solo to sign new underwriters. Art replaced the A/C filters at the transmitter building and discussed a potential broadcasting course for the public taught by KXNM for a fee.
Art provided a comprehensive update on an initiative by Don Davisto build an AM station in the Torrance County that would to some extent compete with KXNM. Art also expressed concern about interference from nearby station broadcasting at 88.7, and has planned a test to determine where interference is occurring in KXNM’s coverage area.
The next Board of Directors Meeting is scheduled for Wednesday, June 19, 2019 at 2 p.m. at the KXNM Offices and Studios in McIntosh.
