  MINUTES KXNM BOARD of DIRECTORS MEETING
                          Wednesday –  July 15, 2020

Present:  Art Swenka, Dixie Swenka, Babbi Baker, Lacey Cromer, Frank McKinnis, Joyce McKinnis, Ladd Hagmaier, Bill Simms,
                 Randy Wright 
 
Art Swenka called the meeting to order at 2:00 p.m.  All participants maintained Covid-19 safety protocols throughout the meeting by wearing a facemask and practicing social distancing. 

The Pledge of Allegiance was said by all present. 
 
A quorum was met with 9 directors present.  Keith Smith did not attend and Bill Simms arrived after the consent agenda was approved.
 
CONSENT AGENDA:  Art Swenka started the meeting by suggesting adding a new business item to the agenda:  Changing the Board of Directors Meeting Date.  Directors approved the change to the agenda. 
 
Ladd Hagmaier motioned to approve the agenda as amended for July 15, 2020 and the minutes for the June 17, 2020 board meetings.  Dixie Swenka seconded the motion and directors unanimously approved the consent agenda.
 
OLD BUSINESS:  
a.    Update Pattern Energy Partnership - Art Swenka reported on the latest meetings with Pattern Energy, who is interested in a partnership with KXNM.   Art submitted a proposal as requested by Pattern Energy; he followed up on the proposal, and is waiting for their response.
 
b.  Update on Property Sale to Torrance County -  Art Swenka provided an update on the sale of .45 acres of station property to Torrance County.  The property survey is finished, but with the current county manager leaving, final execution of the sale may be delayed until a new county manager is hired. 
 
NEW BUSINESS:  
a.   Changing the Board of Directors Meeting Date – Art Swenka
suggested changing the meeting date for the Board of Directors meeting to Tuesday instead of Wednesday to alleviate conflicts with work schedules.   Directors discussed several options because of conflicts with Tuesday and settled on Thursday.  Babbi Baker motioned to change the meeting date to Thursday.   Randy Wright seconded the motion, and it was unanimously approved by directors. 
 
TREASURER’S REPORT:  Joyce McKinnis, Treasurer distributed copies and discussed financial statements including the Income Statement, Balance Sheet and Income by Comparison. 
 
Joyce reported that revenue will dip later in the year with the apparent loss of football and basketball underwriting due to the pandemic.  To offset this loss, Joyce and Art applied for and received a Payroll Protection Program (PPP) loan for $6,600.  Sixty percent of the loan is for payroll and forty percent is for utilities and similar expenses.  The loan is forgiven if used within six months.  A separate bank account was set up to avoid co-mingling these funds with the station’s general revenue.
 
Joyce also reported that she completed and submitted the IRS Form 990,  the Secretary of State report and the Attorney General report.  Art Swenka had questions about several expenses, which were explained as telephone and T-mobile expenses, which may be reduced, because these services are no longer needed for remote sports broadcasts.   
 
Randy Wright motioned to approve the Treasurer’s Report as submitted; Dixie Swenka seconded the motion and directors unanimously approved it.  
 
COMMITTEE REPORTS:  No Committee Reports were presented.
 
VICE PRESIDENT’S REPORT:  Bill Simms reported that the Weather Show with Kerry Jones is now recorded via telephone, instead of live, which is working out well.  But with school out, there are few schedule issues with the FFA reporters.  Bill worked with the reporters and the issues are largely resolved.
 
PRESIDENTS REPORT:  Art Swenka reported that he is working with 
Don Davis and John Chedester to stream KXNM’s broadcast.  Art wants to outsource streaming because of the complexity of reporting the playlist and other issues and is exploring the company, Secure, as the vendor.  
 
The next Board of Directors Meeting is scheduled for Thursday August 20, 2020 at 2 p.m. at the KXNM Offices and Studios in McIntosh.  
 
Note:  Board of Directors now meet on Thursday instead of Wednesday.
 
The meeting adjourned at 2:45 p.m.
