Minutes of KXNM BOARD OF DIRECTOR’S MEETING--Wednesday, March 15, 2017

PRESENT:  Art Swenka, Bill Simms, Dixie Swenka, Randy Wright, John Griego, Barbara Kinney, Ladd Hagmaier

Guest:  Joyce McKinnis, new KXNM bookkeeper

Not Present: Rhoda Geduld, Pat Lincoln, Jo Onarheim, Norm Onarheim,
Matt Page, Blake Williams
 
The meeting was called to order at 2:00 PM
 
The Pledge of Allegiance was said by all present.
 
Quorum was met with seven directors present.
 
AGENDA:  Barbara Kinney made a motion to accept the agenda as presented and John Griego seconded.   Approved: all.
 
MINUTES: Dixie Swenka made a motion to accept the minutes from the February 15, 2017 meeting as submitted.   Barbara Kinney seconded the motion.   Approved: all.
 
Art Swenka introduced Joyce McKinnis, who is the newly hired bookkeeper.  She replaces Barbara Kinney who is retiring from the position, but will remain as a member of the Board of Directors.
 
NEW BUSINESS: 
  1. Randy Wright submitted a CPB approved policy and instructions for documenting in-kind professional services and other donations.  Barbara Kinney motioned to accept the policy as submitted; it was seconded by Dixie Swenka and approved by all.  A copy of the donation policy is attached to these minutes.
  2. Dixie Swenka provided an update on the 2015-2016 Financial Summary Report (FSR) completed by her, John Griego and
             Barbara  Kinney.   The Non-Federal Funding Sources (NFFS)  recorded on the FSR for FY 2015- 2016 are complete, but valuing in-   
             kind professional services and the buildings and land donated are in progress.  These items will be added to FSR when they are   
             available.  ​

TREASURER’S REPORT: John Griego provided a detailed P&L Statement and Balance Sheet through March 13, 2017 and for the fiscal year.  The station’s income compared to same time from last year is about the same, but payroll and tower expenses are higher.  Ladd Hagmaier made a motion to accept the Treasurer’s Report as presented, and Dixie Swenka seconded.  Approved: all.

PROGRAMMING REPORT:  Art Swenka reported that “Sunday Night’s Smooth Jazz” is back on the air. 

VICE PRESIDENT’S REPORT:  Bill Simms reported on the continued success and growing interest in “Archaeology in Your Backyard” and upcoming new shows from Sharon Hanna and a show on the “Train Trip to Torrance” circa 1903. 
 
PRESIDENT’S REPORT:  Art Swenka reported on the continued reliability of the new transmitter.  It is using significantly less electricity than the old transmitter and with no loss of signal.  Underwriting is growing with three new underwriters supporting the station:  4 Rivers , Unique Auto and Central Texas Barbecue.
 
OLD BUSINESS:
  1. Art Swenka discussed options for appraising the station’s  buildings and lands and requested volunteers for tower building maintenance and spare parts storage.  Bill Simms and Ladd Hagmaier volunteered.
 
Item 12 - Dixie Swenka re-introduced Joyce McKinnis as the new bookkeeper, and made a motion to approve her appointment with check signing authority.   Randy Wright seconded the motion, and all approved it.
 
The next meeting is scheduled for Wednesday, April 19, 2017 at 2 pm at the KXNM Offices and Studios in McIntosh.
