MINUTES KXNM BOARD of DIRECTORS MEETING
                   Wednesday – October 16, 2019
​

Present:  Art Swenka, Dixie Swenka, Ladd Hagmaier, Bill Simms, Keith Smith, Randy Wright 
Special Advisor to the Board:  Lacey Cromer
Not Present:  Babbi Baker, John Griego, Norm Onarheim
 
Art Swenka called the meeting to order at 2:00 p.m. 
 
The Pledge of Allegiance was said by all present. 
 
A quorum was met with 6 of 9 directors present.
 
CONSENT AGENDA: Ladd Hagmaiermotioned to approve the agenda for the October 16, 2019 meeting and the minutes from the September 18, 2019 meeting as submitted.  Dixie Swenka seconded the motion and directors unanimously approved the consent agenda.
 
OLD BUSINESS: 
          a.  Update on Remote Broadcast of Football Games –Art Swenka reported on the success of the live broadcasts of local high school football games and noted that many favorable comments have been received.  The live broadcasts are also very popular with sponsors and currently there are thirteen sponsors including:

Art also discussed broadcasting the local high school basketball games for both the varsity boy’s and girl’s teams.  There are two games scheduled each week on Tuesday and Thursday, and because of other scheduling conflicts, KXNM will only broadcast one game each week.
                
    b.  Update on Repairing the Studio Console– Bill Simms reported that John Chedester, “super engineer” replaced the malfunctioning chips in the primary console and provided spare chips to expedite future repairs.  The station now has two fully operational consoles.
 
NEW BUSINESS:  Dixie Swenka discussed nominating Norm Onarheim to be a director emeritus.  Dixie contacted Norm who requested changing his status from director to director emeritus.  Dixie motioned to appoint Norm Onarheim as director emeritus, Randy Wrigh tseconded the motion and directors unanimously approved his appointment.  
 
Dixie also discussed appointing Lacey Cromer as a special advisor to the board.  In this new role, Lacey will share her knowledge and advise about the station with the board, but will not have voting or motion authority. Dixie motioned to appoint Lacey Cromer as special advisor to the board, Randy Wright seconded the motion and directors unanimously approved her appointment.  
 
TREASURER’S REPORT: Art Swenka acting for John Griego, Treasurer distributed copies and discussed financial statements including the Income Statement, Balance Sheet and Income by Comparison. 
 
Art reported that net profit through September is $9,614 compared to last September’s net profit $1,400 and projected an annual net profit of $12,301 for 2019.  Art further reported the net profitis projected to increase in the 4thquarter because of new revenue from football and basketball broadcasts, and the town announcements for Estancia, Moriarty and Mountainair
 
Randy Wright motioned to accept the Treasurer’s Report as submitted. Keith Smithseconded the motion, and directors unanimously approved it.
 
COMMITTEE REPORTS:  No Committee Reports were presented.
 
VICE PRESIDENT’S REPORT:  Bill Simms reported that the Archaeology in Your Backyardand the Weathershows are on schedule, but indicated issues with the timeliness of recording and submitting the FFA and Commodity shows.  This is a persistent problem and Bill is working the FFA advisors to resolve it.
 
PRESIDENTS REPORT:  Art Swenka reported on decisions made at a recent staff meeting concerning program scheduling and holiday closings.
 
Art reported that obituaries would be broadcast for three consecutive days at 6:45 and 9:45 am, and at 1:45 and 5:45 pm.  Basketball games will be broadcast on Tuesday nights.  Also, school lunches will be removed from the KXNM website, because the schools are updating the daily lunch announcements.
 
The station will close on Thanksgiving and Thanksgiving Friday; on Christmas Eve at noon and Christmas Day; on New Year’s Eve at noon and New Year’s Day.
 
OTHER DISCUSSION: Lacey  Cromer reported that sheis participating in the Pumkin Chunkin Parade in Estancia on Saturday, October 19th .  She also showed a photo of the KXNM Banner that will displayed on her car during the parade.  Directors were impressed with her professionalism, marketing outreach and community involvement.
 
The next Board of Directors Meeting is scheduled for Wednesday November 20, 2019 at 2 p.m. at the KXNM Offices and Studios in McIntosh.
 
The meeting adjourned at 3:20 p.m.
